Terms of Service

By engaging MakeMyUnicorn's services, visiting our website, or entering into a service agreement with us, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

MakeMyUnicorn provides digital marketing and growth services including but not limited to:

- Performance marketing (Google Ads, Meta Ads, LinkedIn Ads)

• Search Engine Optimization (SEO)
• Generative Engine Optimization (GEO)
• Social Media Management
• AI Marketing Automation
• Growth strategy consulting

  Service Scope: The specific services, deliverables, timelines, and fees applicable to your engagement are defined in the individual Service Agreement or Statement of Work (SOW) entered into between you and MakeMyUnicorn.

  Service Modifications: We reserve the right to modify, suspend, or discontinue any service with reasonable notice. In the event of material service changes, we will work with affected clients to find appropriate alternatives.

  Third-Party Platforms: Our services often involve management of your accounts on third-party platforms (Google, Meta, LinkedIn, etc.). You acknowledge that such platforms have their own terms of service, and our ability to deliver services may be impacted by changes to those platforms' policies.

Fee Structure: Fees for our services are as specified in your Service Agreement. Our standard packages are published on our website and are subject to change.

Payment Terms: Invoices are due within 7 days of issuance unless otherwise specified in the Service Agreement. Monthly retainer fees are invoiced in advance at the beginning of each service month.

Late Payments: Payments not received by the due date may incur a late fee of 1.5% per month (18% per annum) on the outstanding balance. We reserve the right to suspend services for accounts with outstanding payments exceeding 14 days.

Ad Spend: Client ad budgets (amounts spent directly on Google, Meta, LinkedIn, etc.) are separate from and in addition to MakeMyUnicorn's management fees. Clients are responsible for maintaining adequate funding in their ad platform accounts.

Price Changes: We will provide at least 30 days' written notice before implementing fee increases for ongoing engagements.

Taxes: All fees are exclusive of applicable taxes. Clients are responsible for any GST, TDS, or other taxes applicable to our services under Indian law.

Client Materials: You retain all ownership of content, data, trademarks, and materials you provide to us ("Client Materials"). You grant MakeMyUnicorn a non-exclusive licence to use Client Materials solely to perform the agreed services.

Deliverables: Upon receipt of full payment, you own the deliverables created specifically for you (ad creatives, reports, strategy documents). Except as expressly agreed in writing, MakeMyUnicorn retains ownership of all methodologies, frameworks, tools, processes, and know-how used in delivering services.

Portfolio Use: You grant MakeMyUnicorn the right to reference your company name, logo, and general results (without revealing confidential financial data) in our portfolio, case studies, and marketing materials, unless you request otherwise in writing.

General IP: All content on the MakeMyUnicorn website, including text, graphics, logos, and software, is our property and protected by applicable intellectual property laws.

To enable MakeMyUnicorn to deliver effective services, you agree to:

Access and Permissions: Provide timely access to relevant accounts, platforms, and information required to perform the agreed services (ad accounts, analytics, website access, etc.).

Content Approvals: Review and approve or request revisions to creative work within the agreed timeframe (default: 48 business hours). Delays in approvals may affect campaign timelines and results.

Accurate Information: Provide accurate, complete, and up-to-date information about your business, products, target audience, and goals.

Legal Compliance: Ensure that your products, services, and marketing materials comply with all applicable laws and platform policies. MakeMyUnicorn is not responsible for campaigns suspended or rejected due to client non-compliance with platform policies.

Cooperation: Designate a point of contact with appropriate authority to make marketing decisions and respond to our team within a reasonable time.

Budget Maintenance: Maintain adequate funds in your ad platform accounts to avoid campaign interruptions.

Management Fees: MakeMyUnicorn's service management fees are non-refundable once work has commenced for a given billing period. This reflects the time, expertise, and resources invested in strategy, management, and reporting.

Unused Services: If you cancel before the commencement of a new billing period and have pre-paid for future services, we will refund the pre-paid amount for unused future periods, minus any setup or onboarding costs already incurred.

Ad Spend: Client funds deposited directly into ad platforms (Google, Meta, LinkedIn) are subject to those platforms' refund policies and are outside MakeMyUnicorn's control.

Cancellation Process: To cancel services, provide written notice (email to makemyunicornofficial@gmail.com) with a minimum of 30 days' notice before the next billing date, unless otherwise specified in your Service Agreement.

Dispute Resolution: If you are dissatisfied with our services, we encourage you to raise concerns with your account manager first. We are committed to resolving disputes fairly and efficiently.

Results Disclaimer: While we are committed to delivering strong marketing results, we cannot guarantee specific outcomes such as particular rankings, conversion rates, or revenue figures. Marketing results depend on numerous factors including market conditions, product quality, competition, and algorithm changes outside our control.

Limitation of Damages: To the maximum extent permitted by applicable law, MakeMyUnicorn's total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to MakeMyUnicorn in the three months preceding the claim.

Exclusion of Consequential Damages: In no event shall MakeMyUnicorn be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including platform policy changes, algorithm updates, natural disasters, or government actions.

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement ("Confidential Information"). Confidential Information includes business strategies, financial data, customer information, and other non-public information.

Neither party shall disclose Confidential Information to third parties without prior written consent, except as required by law or as necessary to perform the agreed services (e.g., sharing necessary information with platform partners).

This confidentiality obligation survives the termination of services for a period of two years.

By Client: You may terminate services by providing 30 days' written notice. You remain responsible for fees due for services delivered during the notice period.

By MakeMyUnicorn: We may terminate services immediately if: (a) you materially breach these Terms and fail to cure the breach within 7 days of notice; (b) you become insolvent or cease business operations; (c) you engage in activities that violate applicable laws or platform policies; or (d) we determine that the engagement is no longer viable in good faith.

Effect of Termination: Upon termination, we will provide a final report and, upon payment of all outstanding amounts, transfer ownership of all deliverables and data belonging to you. We will also assist with transition to a new provider for a reasonable handover period.

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

For disputes involving amounts under ₹5,00,000, we agree to first attempt resolution through good-faith mediation before pursuing legal action.
